1. Who we are and what these terms cover
Devection Consulting Group, Inc., doing business as BidSentryX (collectively, “BidSentryX,” “we,” “us,” or “our”), provides human-reviewed AI bid intelligence and preconstruction workflow software for businesses. These Terms of Service govern the BidSentryX websites, hosted application, subscriptions, support, and related services (the “Service”).
By creating an account, joining an organization, starting a trial, purchasing a subscription, or using the Service, you agree to these terms. If you use the Service for a company or other organization, you represent that you have authority to bind that organization.
2. Accounts and organization administration
- You must provide accurate account information, protect your credentials, and promptly report suspected unauthorized access.
- Organization administrators control membership, roles, billing selections, and organization content. Your organization is responsible for actions taken through its accounts.
- You may not share credentials, impersonate another person, or bypass plan, access, security, or usage limits.
- The Service is offered for business use only. You must be at least 18 years old and legally able to enter into these terms.
3. Subscriptions, trials, renewals, and taxes
Starter and Growth subscriptions renew automatically for the monthly or annual interval selected at checkout until canceled. Growth may include a seven-day trial when shown at checkout; a payment method is required and billing begins automatically when the trial ends unless the subscription is canceled first. Starter does not include an introductory trial unless expressly stated at checkout.
Paddle acts as merchant of record for self-service purchases and handles payment collection, receipts, invoices, and applicable transaction taxes. Prices, currency, trial length, renewal amount, and billing interval are presented before purchase. Plan limits are enforced in the Service; unapproved overages are not automatically added to a subscription.
4. Changes and cancellation
- Upgrades generally take effect immediately and may include a prorated charge shown by Paddle.
- Downgrades and ordinary cancellations take effect at the end of the current paid period unless we approve an earlier support action.
- Access continues through a paid period after an ordinary cancellation, subject to these terms.
- Refunds and payment disputes are governed by the Refund and Cancellation Policy and any non-waivable consumer rights.
5. Customer content and permissions
As between you and BidSentryX, you retain ownership of solicitation records, documents, notes, workbooks, contacts, and other information submitted to the Service (“Customer Content”). You grant us a limited right to host, copy, process, transmit, and display Customer Content only as needed to operate, secure, support, and improve the Service and fulfill your instructions.
You represent that you have the rights and permissions needed to submit Customer Content. Do not upload information that is unlawful, subject to restrictions you cannot satisfy, or prohibited sensitive data, including Social Security and other government-identification numbers, full payment-card and bank-account details, passwords and authentication secrets, medical records, biometric identifiers, precise location histories, information about children.
6. Acceptable use
- Do not use the Service unlawfully, deceptively, or to violate another party's intellectual-property, privacy, confidentiality, or contractual rights.
- Do not probe, scan, disrupt, overload, reverse engineer, scrape, resell, or attempt unauthorized access to the Service or another customer's data, except where a restriction is prohibited by law.
- Do not upload malicious code or use automated activity that materially harms the Service or other users.
- AI-assisted extraction or suggestions must be reviewed by a qualified user. You remain responsible for bid decisions, dates, requirements, and submitted work.
7. Service changes and third-party services
We may modify the Service, add or remove features, or change reasonable usage and security controls. We will provide notice of material changes when reasonably practical. The Service relies on third-party providers for infrastructure, identity, storage, communications, billing, monitoring, and optional processing. Third-party services may have separate terms and availability.
8. Suspension and termination
We may suspend or restrict access when reasonably necessary to address nonpayment, fraud, chargebacks, security risk, unlawful use, material breach, or harm to the Service or others. When practical, we will provide notice and an opportunity to cure. Upon termination, your right to use the Service ends, but accrued payment obligations and provisions that by their nature should survive will remain in effect.
9. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. BIDSENTRYX DOES NOT GUARANTEE THAT EVERY SOLICITATION CHANGE, DEADLINE, DOCUMENT DETAIL, OR THIRD-PARTY EVENT WILL BE DETECTED OR ERROR-FREE. THE SERVICE DOES NOT REPLACE REVIEW OF THE AUTHORITATIVE SOLICITATION, CONTRACT DOCUMENTS, OR PROFESSIONAL ADVICE.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS, GOODWILL, OR DATA. EXCEPT FOR AMOUNTS THAT CANNOT LAWFULLY BE LIMITED, EACH PARTY'S TOTAL LIABILITY ARISING FROM THE SERVICE WILL NOT EXCEED THE AMOUNT PAID OR PAYABLE FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
11. Governing law and disputes
These terms are governed by Florida law, without regard to conflict-of-law rules. The state and federal courts serving Seminole County, Florida will have exclusive jurisdiction, unless applicable law gives you a non-waivable right to bring a claim elsewhere. Before filing a claim, each party agrees to make a good-faith effort to resolve the dispute through written notice.
